審計委員會
公司董事會（“衝浪板”）設有獨立指定的常設審計委員會（“審計委員會"）根據《交易法》第3（a）（58）（A）條設立並滿足《交易法》規則10A—3的要求。公司的審計委員會由三名董事組成，公司董事會認為，所有董事都是獨立的（根據交易法第10A—3條和紐約證券交易所的規則確定），並具有財務知識。

道德準則

公司治理實踐
《紐約證券交易所上市公司手冊》一般要求上市公司的章程規定公司普通股持有人會議的法定人數，該法定人數應足以確保代表投票。作為一家外國私人發行人，我們選擇遵守加拿大法律允許的做法，以取代紐約證券交易所的這一要求。本公司的章程規定，至少25%有權於大會上投票的股份持有人（親身出席或由受委代表代表）以及至少兩名有權於大會上投票的人士（親身出席或由受委代表）構成法定人數。
除上文所述外，我們遵守一般適用於在紐約證券交易所上市的美國國內公司的規則。我們未來可能會決定對紐約證交所的其他上市要求使用其他外國私人發行人的豁免。按照我們本國的治理做法，而不是適用於在紐約證券交易所上市的公司的要求，提供的保護可能比適用於美國國內發行人的紐約證券交易所上市要求給予投資者的保護要小。
承諾及同意送達法律程序文件
A.承接工作
登記人承諾親自或通過電話讓代表對委員會工作人員提出的詢問作出答覆，並在委員會工作人員提出要求時迅速提供以下方面的資料：根據表格40-F登記的證券；產生提交表格40-F年度報告義務的證券；或上述證券的交易。
B.同意送達法律程序文件
