第五 修正案，

雇佣协议

本 雇佣协议第五次修正案（本"修正案"）于2023年12月28日签订，对Lantern Pharma Inc.之间的雇佣协议（定义见下文）进行了修正。(the”公司）和Kishor G.巴蒂亚（"执行人员"）. 本公司和执行人员在此可单独称为"聚会“或统称为”各方.”

鉴于， 公司和行政人员已于2020年6月16日签订雇佣协议，并于2021年3月4日、2022年1月1日、2022年5月1日和2023年1月1日修订（统称为"雇佣协议”），其中公司正在聘用高管作为公司的首席科学官；以及

鉴于， 公司和高管希望修订雇佣协议，以反映（i）自2024年1月1日起，雇佣协议项下的高管年度税前基本工资水平 增加至316，000美元；以及（ii）雇佣协议项下的目标合格 年度奖金水平百分比增加至高管适用基本工资的40%。

因此，考虑到本协议中规定的共同契约以及其他合法和有价值的考虑，双方商定 如下：

“基本工资。公司应向管理人员支付初始税前基本工资（"初始基薪"）每年100，000美元（十万美元），扣除所有适用的预扣税，该初始基本工资将根据公司的标准工资制度支付。从2021年3月4日开始，初始基本工资将增加到133，333美元（一百三十三千三百三十三美元），扣除所有适用的预扣税款，根据公司关于支付期的标准工资惯例，（或其适用 部分）在本协议期限内发生于2021年3月4日或之后且在2022年1月1日之前发生。从2022年1月1日开始，初始基本工资应增加至每年138，666.32美元（十三万八千六百六十六美元 又三十二美分），扣除所有适用的预扣税，并增加了初始基本工资（"调整后的基本工资 ”) to be paid in accordance with the Company’s standard payroll practices with respect to pay periods (or applicable portions thereof) during the Term of this Agreement that occur on or after January 1, 2022 and prior to May 1, 2022. Commencing May 1, 2022, the Adjusted Base Salary shall be increased to $175,000.00 (One Hundred Seventy Five Thousand U.S. Dollars) per annum, less all applicable withholdings, with such increased Adjusted Base Salary to be paid in accordance with the Company’s standard payroll practices with respect to pay periods (or applicable portions thereof) during the Term of this Agreement that occur on or after May 1, 2022 and prior to January 1, 2023. Commencing January 1, 2023, the Adjusted Base Salary shall be increased to $235,000.00 (Two Hundred Thirty Five Thousand U.S. Dollars) per annum, less all applicable withholdings, with such increased Adjusted Base Salary to be paid in accordance with the Company’s standard payroll practices with respect to pay periods (or applicable portions thereof) during the Term of this Agreement that occur on or after January 1, 2023 and prior to January 1, 2024. Commencing January 1, 2024, the Adjusted Base Salary shall be increased to $316,000.00 (Three Hundred Sixteen Thousand U.S. Dollars) per annum, less all applicable withholdings, with such increased Adjusted Base Salary to be paid in accordance with the Company’s standard payroll practices with respect to pay periods (or applicable portions thereof) during the Term of this Agreement that occur on or after January 1, 2024.”

"高管 将有资格获得年度绩效现金奖金，奖金数额最高为高管适用基本工资 的40%（百分之四十），该奖金所涉及的年度期间。"

特此证明，双方已签署本修正案，自2023年12月28日起生效。
