纽蒙特公司宣布就交换要约和征求同意达成和解

根据交换要约,发行人发行了(1)新纽蒙特2030债券本金总额为624,639,000美元,(2)新纽蒙特2041债券本金总额为459,939,000美元,以及(3)新纽蒙特2050债券本金总额为486,128,000美元。

新的纽蒙特债券尚未根据证券法或任何州或外国证券法注册。因此,新纽蒙特债券不得在没有注册或适用于证券法和任何适用的州证券法或适用的外国证券法的注册要求的豁免的情况下发售或出售。

在发行新纽蒙特债券方面,纽蒙特公司于2023年12月28日与BMO Capital Markets Corp.和Goldman Sachs&Co.LLC作为交易商经理签订了注册权协议,日期为2023年12月28日,根据该协议,纽蒙特公司同意利用其商业上合理的努力:(I)向证券交易委员会提交一份登记要约,将每个系列的新纽蒙特债券交换为同一系列的债券, 该协议的条款将在所有实质性方面与该等新纽蒙特债券相同。除非交换票据将不包含转让 限制,(Ii)使该交换要约登记声明保持有效,直至交换要约收盘,及(Iii)受某些限制所规限,使交换要约不迟于2024年12月28日完成。
