知乎天下在知乎在线平台上提供视听内容,属于互联网视听节目服务管理条例(“互聯網視聽節目服務”)规定的互联网视听节目服务(互聯網視聽節目服務管理規定)范围。

根据《网络视听节目服务管理条例》,提供网络视听节目服务的单位,应当取得《视听许可证》或者向有关部门办理登记。根据《关于加强网络直播规范管理的指导意见》(《關於加強網絡直播規範管理工作的指導意見》),直播平台开展网络视听节目服务,必须持有《视听许可证》(或在国家互联网视听平台信息登记管理系统完成登记)并进行备案。此外,根据《互联网视听节目服务管理条例》,视听许可证的申请人应为国有独资或国有控股等。因此,智哲天下没有资格申请视听许可证,但已在国家互联网视听平台信息登记管理系统(全國網絡視聽平臺信息登記管理系統)完成登记。

此外,根据本公司、中国法律顾问及联合保荐人法律顾问于2021年11月就中国法律与国家互联网视听平台管理局进行的口头磋商(“中国互联网视听平台咨询”),在国家互联网视听平台信息登记管理系统登记后,知哲天下由国家互联网视听平台信息登记管理系统监管,因此无需取得视听许可证即可继续提供互联网视听节目服务;国家互联网视听平台及/或其当地对口机构不会因未取得该等视听许可证而惩罚知哲天下。此外,在国家互联网视听节目服务管理条例于2007年发布以来,国家网络视听节目管理局确认,非国有或控股企业,除放行前合法经营的企业外,不能申请视听许可证,因此国家网络视听节目管理局要求相关企业在国家网络视听平台信息登记管理系统中完成登记,才能继续提供网络视听节目服务。

上海银朗目前与持有广播电视节目制作经营许可证的上海品智合作,通过委托该方制作广播电视节目的方式开展此类业务。由于中国有关法律及法规并无禁止上海银朗与第三方广播电视节目制作及经营许可证持有人合作开展广播电视节目制作业务,中国法律顾问认为,上海银朗与持有广播电视节目制作及经营许可证的其他企业合伙经营该等业务,在所有重大方面均符合中国有关法律法规。董事并不认为该等合作构成对其他企业的实质依赖,因为该等合作并非排他性的,而上海银朗可在符合该等条款及条件的情况下,视情况及需要而更改其合作方。
